Terms of Service

Last updated: 22 April 2026

These Terms of Service (“Terms”) govern your access to and use of the CodeWall platform, including all associated APIs, agents, tools, documentation, and services (collectively, the “Platform”), operated by CodeWall Ltd, a company registered in England and Wales under number 17124935 (“CodeWall”, “we”, “us”). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

Use of the Platform is also subject to our Acceptable Use Policy, which forms part of these Terms.

1. Eligibility

You must be at least 18 years old and have the legal authority to bind the organisation on whose behalf you are using the Platform. By registering an account, you represent that you have such authority.

2. Account and Access

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at security@codewall.ai if you suspect unauthorised access.

We may suspend or terminate your access at any time if we reasonably believe you have breached these Terms or the Acceptable Use Policy.

3. The Platform

CodeWall is an autonomous offensive security testing platform. It deploys AI-powered agents to identify vulnerabilities in systems you designate for testing. The Platform is provided “as is” and “as available”.

We do not guarantee that the Platform will detect all vulnerabilities in your environment. A test conducted via the Platform does not constitute a certification that your systems are secure. New threats, zero-day exploits, and configuration changes may introduce risks that were not identified during testing.

The Platform utilises autonomous AI agents. While we implement technical safeguards — including scope enforcement, action validation, and automated constraint systems — autonomous systems may, in rare circumstances, behave unpredictably. You are strongly advised to maintain current backups and ensure disaster recovery procedures are operational before testing.

4. Your Responsibilities

You agree to:

  • Use the Platform only against systems and networks that you own or are expressly authorised to test.
  • Correctly configure the scope of testing within the Platform before any engagement begins, ensuring all designated targets are properly authorised and all necessary internal approvals are in place.
  • Comply with all applicable laws, including computer misuse, data protection, and export control laws.
  • Not use the Platform for any unlawful purpose, including unauthorised access to third-party systems.

You acknowledge that you are solely responsible for the scope you configure and the targets you designate. CodeWall is entitled to rely on the accuracy of your scope configuration without independent verification.

5. Fees and Payment

Fees for the Platform are set out in your order, quote, or design partner agreement with CodeWall. All fees are non-refundable unless otherwise agreed in writing. We reserve the right to change our pricing with 30 days' notice.

6. Intellectual Property

All intellectual property rights in the Platform, including software, algorithms, models, documentation, and branding, belong to CodeWall. Nothing in these Terms transfers any intellectual property to you.

You retain ownership of your data. You grant CodeWall a limited licence to process your data solely for the purpose of operating the Platform. We may collect anonymised and aggregated usage data to improve the Platform.

7. Data Protection

We process personal data in accordance with applicable data protection laws, including the UK GDPR and Data Protection Act 2018. Where your use of the Platform involves the processing of personal data, you are the Controller and CodeWall acts as Processor. Data processing terms are set out in your agreement with CodeWall.

Where data is transmitted to third-party AI model providers for agent reasoning, it is sanitised and anonymised prior to transmission such that no data subject is identifiable.

8. Confidentiality

Each party agrees to keep confidential all non-public information disclosed by the other party that is marked as confidential or that a reasonable person would consider confidential. Obligations of confidentiality survive termination for three years, except for trade secrets which remain protected for as long as they qualify as such.

9. Disclaimers

The Platform is provided “as is” and “as available”. CodeWall expressly disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. CodeWall does not warrant that the Platform will operate error-free or uninterrupted.

Security testing carries inherent operational risk. CodeWall will use reasonable care to minimise disruption, but does not accept liability for service degradation, data loss, or system impact arising from testing activities conducted within your configured scope, save where directly caused by CodeWall's gross negligence or wilful misconduct.

10. Limitation of Liability

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded by law.

Subject to the above, neither party shall be liable for any indirect, special, incidental, or consequential loss, including loss of profits, revenue, or data. CodeWall's total aggregate liability under these Terms shall not exceed the fees paid by you in the 12 months preceding the claim, or USD $50,000, whichever is greater.

11. Term and Termination

These Terms apply from the date you first access the Platform and continue until terminated. Either party may terminate by giving 14 days' written notice. We may terminate or suspend your access immediately if you breach these Terms.

On termination, your access rights cease immediately. We will delete your data within 30 days of termination, unless required by law to retain it.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Platform. Continued use of the Platform after changes take effect constitutes acceptance.

13. Governing Law

These Terms are governed by the laws of England and Wales. Each party submits to the exclusive jurisdiction of the courts of England and Wales.
